Welcome to Hits Culture. These Terms of Service (the "Terms") govern your use of hitsculture.com and any pages, newsletters, submission tools, and services we operate under the Hits Culture name (together, the "Site"). The Site is owned and operated by Hits Culture ("Hits Culture," "we," "us," or "our").
Please read these Terms carefully. By visiting the Site, creating an account, subscribing to a newsletter, or submitting music, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.
These Terms include a binding arbitration provision and class action waiver in Section 15 that affect how disputes between you and Hits Culture are resolved. Please review it carefully.
1. Who May Use the Site
You must be at least 13 years old to use the Site. If you are between 13 and 18 (or the age of majority where you live), you may use the Site only with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf. You must be at least 18 to create an artist, producer, or label account or to submit music for editorial consideration. By using the Site, you represent that you meet these requirements and that you are not barred from using the Site under any applicable law.
2. Our Mission and What We Provide
Hits Culture exists to help you Discover, Learn, and Grow. We publish editorial coverage of music and culture, artist and release pages, guides and educational content, and tools that let visitors follow the artists, labels, and music they care about. We also accept submissions from artists, producers, and labels for editorial consideration. Our content is provided for general information and entertainment. It is not professional, legal, financial, or career advice, and you should not rely on it as such.
3. Accounts

Visitor Accounts: You may create a free account to follow and save music, artists, and labels. You agree to provide accurate information, keep it current, and choose a strong password.

Artist, Producer, and Label Accounts: Music professionals may create accounts to submit releases. You represent that you are the artist, an authorized representative of the artist or label, or otherwise have the right to submit the material on the artist's behalf.

Your Responsibility: You are responsible for all activity that occurs under your account, whether or not you authorized it. Do not share your credentials. Notify us immediately through the contact page if you suspect unauthorized access.

One Person, One Account: You may not create accounts for anyone other than yourself or the artist or label you represent, use another person's account without permission, or create accounts by automated means.

Termination by You: You may close your account at any time by contacting us. Some content you submitted for publication may remain on the Site as described in Section 6.
4. Acceptable Use
We want Hits Culture to be a place where music fans and creators feel welcome. When you use the Site, you agree not to:

Post, submit, or share content that is unlawful, defamatory, harassing, threatening, hateful, obscene, or that invades another person's privacy.

Impersonate any person, artist, label, or organization, or misrepresent your affiliation with anyone.

Upload or submit material that infringes any copyright, trademark, right of publicity, or other intellectual property or proprietary right.

Post spam, unsolicited promotions, affiliate links, or repetitive content, or use comment sections and submission forms for purposes other than their intended use.

Use bots, scrapers, crawlers, or other automated means to access the Site, collect data, or copy content, except as permitted by our robots.txt file or with our written consent.

Attempt to probe, scan, or test the vulnerability of the Site, bypass any security or access controls, or interfere with the Site's operation or with other users' enjoyment of it.

Manipulate follows, saves, ratings, votes, views, or any other metric through fake accounts, purchased engagement, or coordinated activity.

Upload viruses, malware, or any code designed to damage or disrupt the Site or its users.

Use the Site to train, fine-tune, or otherwise develop artificial intelligence or machine learning models without our express written permission.

Use the Site for any commercial purpose not expressly permitted by these Terms, or resell, sublicense, or redistribute any part of the Site or its content.
We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.
5. Music Submissions
Artists, producers, and labels may submit music, artwork, press materials, and related information for editorial consideration. By submitting, you agree to the following:

No Guarantee of Coverage: Submitting does not guarantee that your music will be reviewed, featured, or published. Editorial decisions are made at our sole discretion, and we are not obligated to explain them.

Editorial Independence: Coverage is never contingent on a purchase, sponsorship, or personal relationship. If we ever offer a paid submission or sponsored placement, it will be clearly labeled as such on the Site and will not affect our independent editorial coverage.

Rights You Grant: You grant Hits Culture a non-exclusive, worldwide, royalty-free, perpetual license to reproduce, display, distribute, excerpt, and adapt the submitted materials (including your artist name, biography, cover art, photographs, audio previews, and links) on the Site, in our newsletters, on our social media accounts, and in promotional material for the Site, in connection with editorial coverage of your work.

Your Representations: You represent and warrant that you own or have obtained all rights necessary to grant the license above, including permission from any co-writers, featured artists, producers, photographers, and labels; that the material does not infringe anyone's rights; and that any personal information about other people is shared with their consent.

Accuracy: Release dates, credits, and other factual information you submit must be accurate. We may correct errors, but we rely on you to provide truthful information.

No Confidentiality: Do not submit material that you consider confidential or that is under embargo unless you clearly state the embargo date in your submission. We will make reasonable efforts to honor clearly marked embargoes but are not liable for inadvertent early publication.

Removal Requests: If you no longer wish to have your submitted material featured, contact us and we will consider your request in good faith. Published editorial content, including our written coverage and any quotes you provided, may remain on the Site as part of our archive.
6. User Content
The Site may allow you to post comments, ratings, profile information, and other content ("User Content"). You retain ownership of your User Content. By posting it, you grant Hits Culture a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, modify, and create derivative works from your User Content in connection with operating and promoting the Site. This license continues even if you close your account, to the extent your content has been shared with others or incorporated into other content, though we will remove your name from it upon request where reasonably possible.
You are solely responsible for your User Content. We do not endorse any User Content and are not obligated to monitor it, but we may remove or edit any User Content at any time and for any reason, without notice. We may also disclose User Content when we believe it is necessary to comply with the law, enforce these Terms, or protect the rights or safety of Hits Culture, our users, or the public.
7. Intellectual Property
The Site and all of its content, including articles, reviews, guides, photographs, graphics, logos, page design, code, and the selection and arrangement of content, are owned by Hits Culture or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The Hits Culture name, logo, and the phrase "Discover, Learn, and Grow" are trademarks of Hits Culture and may not be used without our prior written permission.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. You may share links to our content and quote brief excerpts with attribution and a link back to the original article. You may not copy, republish, scrape, frame, or redistribute substantial portions of our content without our express written consent.
Album artwork, artist photographs, and music embedded on the Site remain the property of their respective owners and are used for editorial and informational purposes.
8. Copyright Complaints (DMCA)
We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on the Site infringes your copyright, please send a notice that complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent through the contact page, with "DMCA Notice" in the subject line. Your notice must include:

Identification of the material you claim is infringing and its location on the Site (a URL is best).

We will respond to valid notices by removing or disabling access to the material and notifying the user who posted it. Users who believe their content was removed in error may submit a counter-notice. We terminate the accounts of repeat infringers in appropriate circumstances. Please note that knowingly submitting a false claim of infringement may expose you to liability.
9. Newsletters and Communications
By subscribing to a Hits Culture newsletter, you consent to receive periodic emails from us. You may unsubscribe at any time using the link in any message. If you create an account, we may send you service-related messages (such as security notices and submission updates) that are necessary for the operation of the Site, and you may not opt out of those while your account is active.
10. Advertising, Sponsorships, and Affiliate Links
The Site is supported by advertising. We may display advertisements from third parties, publish clearly labeled sponsored content, and include affiliate links through which we may earn a commission if you make a purchase. Sponsored content and affiliate relationships are disclosed in accordance with Federal Trade Commission guidelines. Advertisers and sponsors do not influence our independent editorial coverage. We are not responsible for the products, services, or claims of any advertiser, sponsor, or affiliate partner, and any transaction you enter into with them is solely between you and that party.
11. Third-Party Links and Embedded Content
The Site contains links to, and embedded content from, third-party websites and services, including streaming platforms, video services, social media, ticketing services, and artist stores. These third parties are not under our control. We provide links and embeds for your convenience and do not endorse or take responsibility for the content, privacy practices, or terms of any third-party site or service. Your use of them is at your own risk and subject to their terms.
12. Disclaimer of Warranties
THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HITS CULTURE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT. WE MAKE REASONABLE EFFORTS TO VERIFY THE INFORMATION WE PUBLISH, BUT MUSIC RELEASE DATES, CREDITS, AND OTHER DETAILS CHANGE, AND WE CANNOT GUARANTEE THEIR ACCURACY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HITS CULTURE AND ITS OWNERS, EDITORS, WRITERS, CONTRIBUTORS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, ANY CONTENT ON THE SITE, ANY SUBMISSION OR USER CONTENT, OR ANY THIRD-PARTY SITE OR SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SITE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless Hits Culture and its owners, editors, writers, contributors, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your User Content or submissions, your infringement of any third party's rights, or your use of the Site.
15. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.

Talk to Us First: Most concerns can be resolved quickly and informally. Before starting any formal proceeding, you agree to contact us through the contact page describing your dispute and allowing us 30 days to try to resolve it with you.

Binding Arbitration: If we cannot resolve a dispute informally, you and Hits Culture agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Nassau County, New York, or remotely by video at your election. The Federal Arbitration Act governs this provision.

Class Action Waiver: You and Hits Culture agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person.

Exceptions: Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized use of the Site.

Opt-Out: You may opt out of this arbitration agreement by contacting us within 30 days of first accepting these Terms with your name, email address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.
16. Governing Law
These Terms and any dispute arising out of them are governed by the laws of the State of New York and applicable federal law, without regard to conflict of law principles. To the extent any claim is permitted to be brought in court, you and Hits Culture consent to the exclusive jurisdiction of the state and federal courts located in Nassau County, New York.
17. Termination and Suspension
We may suspend or terminate your access to the Site or your account at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the Site or any part of it. Upon termination, your right to use the Site ends immediately. Sections that by their nature should survive termination, including Sections 5 through 8 and 12 through 16, will survive.
18. Changes to the Site and These Terms
We are always improving Hits Culture, and we may add, change, or remove features or content at any time without notice. We may also revise these Terms from time to time. When we do, we will post the updated Terms on this page with a new "Last Updated" date. If a change is material, we will provide more prominent notice, such as an email to registered users or a banner on the Site. Your continued use of the Site after changes take effect means you accept the revised Terms. If you do not agree, you must stop using the Site.
19. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any additional guidelines we post for specific features, are the entire agreement between you and Hits Culture regarding the Site.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of hosting or third-party services, natural disasters, or government actions.

Electronic Communications: You agree that notices, agreements, and other communications we provide electronically satisfy any legal requirement that they be in writing.
